No Guarantees

Leafscale does not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Services are free of viruses or harmful components
  • Results from using the Services will be accurate or reliable

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEAFSCALE SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • SERVICE INTERRUPTIONS OR DATA LOSS
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS OR ALTERATIONS

IN NO EVENT SHALL LEAFSCALE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO LEAFSCALE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Leafscale, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations

Termination

Termination by You

You may stop using the Services at any time. If you have an account, you may request account deletion by contacting us.

Termination by Leafscale

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for any reason including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Requests by law enforcement or government agencies
  • Discontinuation of the Services

Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • You must cease all use of our software and delete any copies
  • Provisions that by their nature should survive termination will remain in effect

Software Licenses

Certain software products offered by Leafscale are subject to separate license agreements. Use of such software is governed by the applicable license agreement, which supplements and may supersede portions of these Terms.

Export Compliance

You agree to comply with all applicable export and import control laws and regulations, including those of the United States. You represent that you are not located in, or a national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country.

These Terms constitute the entire agreement between you and Leafscale regarding the Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver

Failure by Leafscale to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder. Leafscale may assign these Terms to any affiliate or successor.
